1. Nature and Scope of Services
All services provided by QuigPro, Inc., including those under the Structural Guard brand, are consultative and informational only.
We provide professional assessments, recommendations, and reports for advisory purposes only.
We do not warrant, guarantee, or certify the condition, performance, or safety of any structure or system.
Implementation or reliance on our reports or opinions is entirely at the client’s own risk.
Local engineering services may be rendered by independent Texas-licensed engineers or affiliated firms (“Local Engineering Partners”), acting as independent contractors. QuigPro is not responsible for their actions, omissions, or professional judgments.
2. Payments & Refunds
All payments are non-refundable.
No prorations or refunds are issued under any circumstances, including dissatisfaction, early termination, or change of property ownership.
Late payments more than five (5) days overdue incur a $150 late fee and 2% monthly interest on outstanding balances.
QuigPro reserves the right to suspend or terminate services for nonpayment.
3. Right to Terminate Membership or Services
QuigPro, Inc. and Structural Guard reserve the right to terminate any membership, consulting relationship, or service engagement at any time and for any reason, including but not limited to:
Business, financial, or operational decisions;
Ethical or professional concerns;
Conflicts of interest;
Noncompliance with our terms or code of conduct;
Violation of applicable laws or standards.
Upon termination by QuigPro for any reason, the client will not be entitled to any refund or credit of previously paid fees.
Termination shall not affect any accrued obligations, indemnities, or limitations of liability under this Agreement, all of which survive termination.
4. Indemnification
You agree to defend, indemnify, and hold harmless:

Structural Guard
All officers, directors, employees, Local Engineering Partners, subcontractors, affiliated engineering firms, and independent professional engineers from and against all claims, actions, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:
Your reliance on our reports, assessments, or opinions;
Any injury, death, or property damage related to our services or your property;
Your breach of this Agreement, negligence, or misuse of any deliverables.
This indemnification explicitly extends to all Local Engineering Partners and individual engineers, and it survives any termination of this Agreement.
5. Limitation of Liability
To the maximum extent permitted by law:
QuigPro, Structural Guard, and any affiliated or partner firms shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of life, bodily injury, emotional distress, or property damage.
The total aggregate liability of QuigPro, Structural Guard, and all related entities shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim or $2,000,000, whichever is less.
All services are provided “as-is,” without any express or implied warranties.
6. Governing Law & Venue
This Agreement is governed exclusively by the laws of the State of Texas.
All disputes must be resolved exclusively in the state or federal courts of Harris County, Texas, and you consent to such jurisdiction and venue.
7. Privacy Policy
7.1 Information We Collect
Identifiers: name, email, phone number, address, device IDs.
Commercial data: billing records, payments, transactions.
Internet data: IP, browser behavior, cookies.
Optional: referral or contact info from third parties.
7.2 Purpose and Use
We use collected information to provide, manage, and improve our services, maintain accounts, and comply with legal obligations.
We do not sell personal information under the CCPA/CPRA.
7.3 Sharing
Data may be shared with:
Service providers and payment processors;
Local Engineering Partners for service delivery;
Legal or regulatory authorities as required by law;
Successor entities in case of merger or acquisition.
7.4 Retention & Security
Data is retained only as long as necessary for business, legal, or audit purposes, and secured through encryption, access controls, and periodic audits.
7.5 Your Rights
You may request access, correction, deletion, or opt-out under applicable law by contacting [email protected].
8. Disclaimer of Warranties
All services, opinions, and reports are provided for informational purposes only.
QuigPro, Structural Guard, and their affiliates make no warranty—express or implied—regarding suitability, safety, or outcomes.
9. Minors
Services are not directed to individuals under 18. We do not knowingly collect or store data from minors.
10. Updates
We may modify these Terms or the Privacy Policy from time to time. The updated version will be effective upon posting with a new effective date.
11. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.
Acknowledgment
By enrolling, paying, or using our services, you confirm that you:
Have read, understood, and agree to these Terms;
Accept that all payments are non-refundable;
Recognize services are consultative only;
Agree that QuigPro, Structural Guard, and all Local Engineering Partners are fully indemnified and protected from liability for any property loss, injury, or death;
Accept that QuigPro may terminate your membership or services at any time, for any business reason, without refund or further obligation.
